These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Functional Practice Automation LLC (the “Company,” “we,” “us,” or “our”), concerning your access to and use of the https://practiceautomation.co website, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).
By accessing the Site, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference.
Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
The Content and the Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
By using the Site, you represent and warrant that:
All registration information you submit will be true, accurate, current, and complete.
You will maintain the accuracy of such information and promptly update such registration information as necessary.
You have the legal capacity and agree to comply with these Terms and Conditions.
You are not a minor in the jurisdiction in which you reside.
You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise.
Your use of the Site will not violate any applicable law or regulation.
We provide strategic marketing automation, design, and consulting services specifically tailored for functional health professionals. Our services fall into two categories: One-off Projects and Continued Support (Retainer/Subscription Services).
You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.
Payment processing is handled by third-party processors, namely Stripe and/or PayPal. We do not store sensitive payment information (such as full credit card numbers) on our servers. You agree to be bound by the terms of service of the chosen third-party payment processor.
Our Continued Support offers are structured as subscriptions. You acknowledge and agree that you will be billed on a recurring, periodic basis (e.g., monthly). Your subscription will automatically renew at the end of each billing period unless you cancel it or we terminate it.
The cancellation and refund policy depends on the nature of the service purchased:
For One-off Projects (Custom Consulting, Design, or Setup): Payment terms, cancellation policies, and refund eligibility for one-off projects are governed exclusively by the separate, binding Statement of Work (SOW) or Master Service Agreement (MSA) executed between you and the Company. This documentation will detail project milestones, deliverables, and associated payment schedules.
For Continued Support/Subscriptions (Retainer Services): You may cancel your subscription for continued support at any time. Cancellations will take effect at the end of the current billing cycle (the date to which you have already paid). No refunds or credits will be provided for any partial subscription period.
You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
Prohibited activities include, but are not limited to:
Systematically retrieving data or other content from the Site to create or compile a database or directory without written permission from us.
Making any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email.
Bypassing, disabling, or otherwise interfering with security-related features of the Site.
Engaging in unauthorized framing of or linking to the Site.
Using the Site to advertise or offer to sell goods and services.
Engaging in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
The Site is provided on an AS-IS and AS-AVAILABLE basis. You agree that your use of the Site and our services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the site and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no warranties or representations about the accuracy or completeness of the Site’s content or the content of any websites linked to this Site, and we will assume no liability or responsibility for any (1) errors, mistakes, or inaccuracies of content and materials, (2) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Site, (3) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein.
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site, even if we have been advised of the possibility of such damages.
These Terms and Conditions and your use of the Site are governed by and construed in accordance with the laws of the State of Wyoming, applicable to agreements made and to be entirely performed within the State of Wyoming, without regard to its conflict of law principles.
We may terminate or suspend your access to the Site, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms and Conditions. Upon termination, your right to use the Site will cease immediately.
